    1️⃣ Statement of Faith

    Our Foundation

    SOPAGA is a Christ-Centered e-commerce marketplace created to glorify God through business. We believe that commerce can be a Kingdom tool — connecting Christian makers, entrepreneurs, and organizations around the world for God’s glory and the good of others. SOPAGA operates according to the following biblical beliefs and agree that their participation and product offerings will be consistent with them.

    Our Beliefs

    We believe:

    1. In one God, eternally existent in three Persons — Father, Son, and Holy Spirit. (Matthew 28:19)
    2. That Jesus Christ is the Son of God, fully God and fully man, who lived a sinless life, died for our sins, rose again on the third day, and reigns forever as Lord and Savior. (John 3:16; Romans 10:9–10)
    3. That salvation is by grace through faith in Jesus Christ alone. (Ephesians 2:8–9)
    4. That the Bible is the inspired, authoritative Word of God and the standard for faith and conduct. (2 Timothy 3:16–17)
    5. That honest work and creativity are gifts from God to be used in service and stewardship. (Colossians 3:23; Proverbs 11:1)
    6. That love and integrity must define all we do. (1 Corinthians 16:14; John 13:34–35)

    Seller Affirmation

    By applying to sell on SOPAGA, I affirm and agree that:

    • “I acknowledge SOPAGA’s biblical beliefs and agree to operate my business in alignment with its mission and values.” 
    • “I will uphold integrity, honesty, and love in all business dealings.” 
    • “I will ensure my products and marketing reflect SOPAGA’s Christ-centered standards.” 
    • (Optional) “I personally share SOPAGA’s Statement of Faith and affirm Jesus Christ as my Lord and Savior.”

    SOPAGA exists to build Kingdom commerce — a global marketplace where Christian business owners can thrive, collaborate, and serve customers with excellence.

    Our mission is to:

    • Empower Christian entrepreneurs and ministries to use business as ministry.
    • Connect communities of faith through ethical trade and creativity.
    • Model Christlike love and stewardship in every transaction.
    • Advance the Gospel by operating according to biblical principles in every aspect of commerce.

    3️⃣ Terms & Conditions

    A. Legal Entity

    SOPAGA is a registered DBA (Doing Business As) operating under Borland Enterprises LLC, a limited liability company based in the State of North Carolina, USA.
    All contractual relationships, financial transactions, and legal responsibilities are held by Borland Enterprises LLC.
    The name “SOPAGA” refers to the brand and marketplace operated by Borland Enterprises LLC.

    B. Eligibility

    • Sellers must be at least 18 years of age, or operate as a registered business, brand, or nonprofit organization.
    • Sellers must acknowledge SOPAGA’s Statement of Faith and agree to operate consistently with it’s Christ-centered mission and values.
    • All sellers must provide accurate tax information, including legal name, business type, and Tax ID (SSN or EIN), for verification and compliance with applicable laws.
    • SOPAGA’s payment processor will issue any required tax documentation (such as Form 1099-K) directly to sellers who meet reporting thresholds.
    • SOPAGA reserves the right to approve or deny any seller application based on alignment with its mission and values.

    C. Vendor Conduct

    • Sellers agree to represent their products truthfully, price fairly, and fulfill orders promptly.
    • Sellers may not post or sell items containing hate, explicit, occult, or anti-biblical content.
    • Sellers must comply with all applicable federal, state, and local laws.
    • SOPAGA may remove listings or accounts that violate these standards.
    • Seller agree's to maintain Product Liability Insurance on all products listed with SOPAGA

    D. Product Ownership & Responsibility

    • Each seller retains ownership of their products and intellectual property.
    • Sellers are fully responsible for the quality, accuracy, labeling, and safety of their listings.
    • SOPAGA acts as a platform only and is not the legal manufacturer or distributor of third-party products.

    E. Insurance Requirement

    All sellers participating on the SOPAGA platform are required to maintain appropriate business and product liability insurance coverage that reasonably protects against claims arising from the manufacture, sale, distribution, or use of their products.

    Sellers must:

    • Maintain general and product liability coverage with at least $1,000,000 per occurrence.
    • Ensure the coverage reflects the risks of their business or product type.
    • Provide proof of insurance to SOPAGA upon request.
    • Agree that SOPAGA (Borland Enterprises LLC) is not responsible or liable for claims, damages, or losses related to any product sold by independent vendors.
    • Name Borland Enterprises, LLC (DBA: SOPAGA) as Additional Insured
    • SOPAGA may waive this requirement for select low-risk or digital-only vendors at it's discretion.

    Failure to maintain adequate insurance may result in account suspension or removal.

    F. Fees & Payouts

    • SOPAGA collects a service fee (percentage of each sale) as displayed in the Vendor Dashboard.
    • Payouts are released on a schedule determined by SOPAGA, typically after the refund/return period closes.
    • Sellers are responsible for all taxes, shipping, and regulatory compliance.

    G. Refunds, Returns & Disputes

    • Sellers must clearly list refund and return policies that meet SOPAGA standards.
    • SOPAGA reserves the right to mediate disputes to ensure fairness.
    • SOPAGA may withhold funds or terminate accounts for unresolved policy violations.

    H. Intellectual Property

    • Sellers retain rights to their own product images and branding.
    • SOPAGA retains ownership of its platform, trademarks, and website content.
    • The SOPAGA name and logo may only be used for promotional purposes with prior approval.

    I. Product Policy & Content Standards

    Vendors agree that all products listed on SOPAGA must comply with the SOPAGA Vendor Product Policy and Standards, including all prohibited items, biblically aligned content expectations, and community requirements.

    This policy is incorporated by reference into these Terms and may be updated periodically at SOPAGA’s discretion.

    Continued use of the marketplace constitutes agreement to the most recent version of this policy.

    J. Termination

    • SOPAGA (Borland Enterprises LLC) reserves the right to suspend or terminate any seller account for violations of these Terms, misalignment with the Statement of Faith, or actions inconsistent with the platform’s mission.
    • Termination may occur without prior notice at SOPAGA’s discretion.
    • When feasible, SOPAGA will provide notice and an opportunity to correct issues before suspension or termination.
    K. Product Recall Policy

    1. Purpose

    SOPAGA is committed to ensuring the safety, integrity, and trustworthiness of all products offered through its marketplace. This Product Recall Policy outlines the procedures and responsibilities for Vendors and SOPAGA in the event that a product must be withdrawn, recalled, or corrected after sale or distribution.


    2. Vendor Responsibility

    1. Immediate Notification:
      The Vendor must promptly notify SOPAGA in writing if it becomes aware of any product that poses, or may pose, a safety risk, defect, contamination, mislabeling issue, or regulatory noncompliance.
      Notification must occur within 24 hours of the Vendor’s discovery or notification by any regulatory authority, customer, or other source.

    2. Vendor-Initiated Recalls:
      The Vendor bears full responsibility for initiating and managing a product recall related to their products, including communication, logistics, and cost of retrieval, replacement, or refund.

    3. Cost and Liability:
      The Vendor is solely responsible for all expenses associated with the recall, including but not limited to: customer notification, shipping, disposal, replacement, and any government or legal fees incurred. SOPAGA may assist with communication efforts but assumes no financial responsibility.

    4. Insurance Coverage:
      Vendors must maintain adequate insurance to cover recall-related expenses (see Section 9: Insurance & Indemnification).


    3. SOPAGA’s Rights and Responsibilities

    1. Platform Action:
      Upon learning of a potential safety concern or recall, SOPAGA reserves the right to immediately:

      • Suspend or remove the affected product(s) or Vendor’s store from the platform,

      • Notify customers who purchased the affected product(s), and

      • Cooperate with regulatory authorities as necessary.

    2. Vendor Cooperation:
      The Vendor must fully cooperate with SOPAGA and any regulatory authority throughout the recall process, including providing all relevant product and sales information, customer lists, and safety documentation.

    3. Brand Protection:
      SOPAGA may issue public or private statements regarding the recall to protect customers and the integrity of the SOPAGA marketplace.


    4. Recordkeeping and Prevention

    1. Traceability:
      Vendors must maintain accurate production, batch, and shipment records sufficient to trace affected inventory in the event of a recall.

    2. Prevention:
      Vendors are expected to adopt reasonable quality assurance and testing measures to minimize risk of product safety issues.

    3. Failure to Comply:
      Failure to comply with this Recall Policy may result in immediate suspension or permanent removal from the SOPAGA platform, and potential legal action.


    5. Voluntary or Government-Mandated Recalls

    This policy applies equally to:

    • Voluntary recalls initiated by the Vendor or manufacturer; and

    • Mandatory recalls ordered by the U.S. Consumer Product Safety Commission (CPSC), FDA, USDA, or any applicable regulatory body.


    6. Communication to Customers

    SOPAGA will determine, in coordination with the Vendor, the most effective method to inform affected customers of a recall. This may include direct email notifications, website postings, or other communication channels.

    L. Limitation of Liability

    SOPAGA, under Borland Enterprises LLC, provides the marketplace “as-is.”
    Borland Enterprises LLC and SOPAGA shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the platform or products sold by vendors.

    M. Governing Law

    This Agreement is governed by and interpreted in accordance with the laws of the State of North Carolina, USA.

    N. Seller Acknowledgment

    By checking the box or signing below, I confirm:

    • I have read and agree to the SOPAGA Statement of Faith and Terms & Conditions.
    • I agree to operate my business in alignment with SOPAGA’s biblical mission and values.
    • (Optional) “ I personally share these beliefs and affirm Jesus Christ as my Lord and Savior.”
